NOTICE: Beneficial Owner Reporting under the Corporate Transparency Act

Congress passed the Corporate Transparency Act in 2021 which requires most small businesses to file a Beneficial Owners Information (BOI) Report with the Financial Crimes Enforcement Center of the Department of the Treasury by December 31, 2024.

On December 3, 2024, a federal court in Texas issued a preliminary, nationwide injunction against enforcement of the CTA. For now, no BOI filings are to be accepted by the Financial Crimes Center.

On December 23, the Fifth Circuit Court of Appeals overturned the Eastern District Court of Texas. FINCEN quickly responded and has extended the BOI Report filing deadline to January 13, 2025. All other requirements remain in effect.

The Fifth Circuit on December 27, overturned their own ruling from December 23 and re-instated the nationwide ban on the requirement to file BOI reports. The Court stated that they needed to hear the substantive arguments regarding the constitutionality of requiring the filing of the BOI reports. For now, business owners are not required to file BOI reports, but they can be filed if the business owner wants them filed. We will hold off on making any filings for our clients until the final court ruling unless a client informs us they would like to proceed with the filing.
